These terms are the agreement between you and Upspace for using the app and the website, and for any membership you buy — in the app or on the web. Please read them; by using Upspace or buying a membership, you agree to them.
Upspace is operated by Squad Technologies LLC, a limited liability company based in Pennsylvania. In these terms, "Upspace", "we", "us" and "our" mean Squad Technologies LLC. "You" means anyone who uses the Upspace app or website. Our Privacy Policy explains what we collect and why, and forms part of these terms.
You must be at least 13 to use Upspace, and old enough where you live to agree to these terms — or have a parent or guardian agree for you. Buying a membership requires you to be an adult able to enter a contract, or to have your parent's or guardian's permission.
Give us accurate information, keep your password to yourself, and tell us if you think someone else is using your account. You are responsible for what happens on it.
Upspace offers two paid memberships:
Each is sold monthly or yearly. The price, the billing period and any discount are shown to you before you pay, and that is the price you agree to. Prices are in US dollars unless shown otherwise, and may include or exclude tax depending on where you are.
Memberships renew automatically. When you subscribe, you authorise us to charge your payment method at the start of each billing period, at the then-current price, until you cancel. If we change the price of your membership, we will tell you in advance, and the new price applies from your next renewal after that notice; you can cancel before then.
Where you pay decides who bills you. Memberships bought on the web are billed by us, through our payment providers RevenueCat and Stripe. Memberships bought in the app are billed by Apple or Google under their terms, and are managed through your App Store or Google Play account.
If a payment fails, we may retry it and may pause your membership until it succeeds.
You can cancel at any time. A web membership can be cancelled from the Stripe link in your purchase receipt email (Manage your membership shows you where), or by emailing shaun@upspace.team; an in-app membership is cancelled in your App Store or Google Play subscription settings. Deleting the app does not cancel a membership.
When you cancel, your membership stays active until the end of the period you have already paid for, and does not renew. Payments are non-refundable and we do not give refunds or credits for partial periods, except where the law requires it or where we decide to in a particular case. Refunds for in-app purchases are handled by Apple or Google.
Creator Pro is for creators whose Instagram we have confirmed is theirs. If you buy Creator Pro before confirming your Instagram, your membership starts as Upspace Pro and switches to Creator Pro once you confirm it in the app. If we cannot confirm the account is yours, or it is not eligible, contact us and we will help — including moving you to Upspace Pro.
The features included in Creator Pro may change over time as we improve Upspace. Some perks, such as priority recommendations and auto onboarding, are for creators on our Featured list and are not part of a Creator Pro membership on its own.
Creators can earn through Base, Boosts, Bonuses, Member Commissions and Creator Referrals. How each works, and the rules for being eligible to earn, are set out in the For creators section of our Privacy Policy and shown in the creator dashboard in the app. We set the amounts, thresholds and rules, and may change them, and the size of the monthly pool, for future months.
Estimates are projections, not promises. Any earnings estimate we show you — in an invitation, on our website or in the app — is based on assumptions about what you will post and who will join with you. It is not a guarantee of any amount.
Sign-on bonuses. We may offer a creator a one-time sign-on bonus. Unless the offer says otherwise, it is paid with your first Boost post on Creator Pro, is limited to one per creator, and is subject to the same eligibility rules as everything else you earn.
Payouts are made through Stripe, which collects the identity, tax and bank details it needs directly from you; you must complete Stripe's setup to be paid. You are responsible for any tax on what you earn. If we pay you in error, we may correct it in a later payout.
You own what you post, and you can post it anywhere else too. So that we can run Upspace, you give us the licence described in the For creators section of our Privacy Policy, for as long as your content is on Upspace. By posting, you confirm you have the rights to everything in it, and that it does not break the law or anyone's rights.
We may remove content, or limit how widely it is shown, if it breaks these terms or the monetisation rules, or if the law requires it.
Upspace is built to help people level up their health. When you use it, don't:
Upspace is not a medical service, and nothing on it — from creators, members or us — is medical advice. Health, fitness and nutrition content is general information. Talk to a qualified professional before starting a new exercise, diet or health routine, and stop if something hurts. You use what you find on Upspace at your own risk.
Supra is Upspace's AI assistant, for creators on Creator Pro. It answers your questions about your account and drafts things for you: messages, tasks, emails, calendar events, sheets.
You can delete your account at any time from Settings in the app; cancel any membership first, as deleting your account does not cancel a subscription billed by Apple or Google. We may suspend or close an account that seriously or repeatedly breaks these terms, or where the law requires it. If we close your account without cause, we will refund the unused part of any web membership you paid us for.
Upspace is provided "as is" and "as available". To the fullest extent the law allows, we make no warranties about it, including that it will always be available, error-free or suited to a particular purpose. We are not responsible for content posted by creators or members.
To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for lost profits or data, and our total liability to you for any claim about Upspace is limited to the greater of the amount you paid us in the 12 months before the claim and $100. Nothing in these terms limits liability that cannot be limited by law.
These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law rules. If you have a problem, email us first at shaun@upspace.team — most things can be sorted out that way. Any dispute that cannot will be heard in the state or federal courts located in Pennsylvania, unless the law where you live gives you the right to bring it there.
We may update these terms. If a change is significant, we will tell you in the app or by email before it takes effect. If you keep using Upspace after that, the new terms apply; if you don't agree, you can cancel and stop using Upspace.
